Terms of Service

1. Nature of the Services

StoryTower provides a platform powered by artificial intelligence that enables users to generate customized stories, songs, characters, and other related creative content and products ("User Generated Content" or "UGC"). Users may access the platform via StoryTower's website or application and may optionally choose to share their UGC with other users who access the platform or website, or keep their UGC private. In addition, StoryTower offers an integrated e-commerce store through which Users may purchase physical goods related to the generated content, including but not limited to printed versions of stories, character-themed products, and other merchandise ("Merchandise"). While StoryTower aims to provide a high-quality and reliable experience, the Services and Merchandise are provided as-is and as-available. We do not guarantee uninterrupted access, consistent quality of the UGC, or compatibility with any particular device, system, or platform. Features and functionalities may change from time to time at our sole discretion. Users should not build operational dependencies on the continued availability of specific features or content.

2. Ownership; Intellectual Property; Licensing

2.1 Ownership of Platform and Technology

You acknowledge that all rights, title, and interest in and to the Services, including the underlying software, AI models, user interface, platform infrastructure, and any proprietary content, is and will remain the exclusive property of StoryTower and its licensors. These elements are protected by intellectual property laws and are not by any means transferred to you under these Terms or by license. All rights not expressly granted in these Terms are reserved by StoryTower.

2.2 Ownership of UGC

Without derogating from any proprietary rights you may retain or own in your original input that you submit ("User Inputs"), any UGC generated as a result of your use of the Services in compliance with these Terms are jointly owned by you and StoryTower. Concurrently, StoryTower maintains rights in the outputs generated by its proprietary systems and reserves the right to use the UGC in accordance with the license granted under this Section 2.

2.3 License Granted to Users

Subject to your compliance with these Terms, StoryTower grants you a limited, revocable, non-exclusive, non-transferable license to access and lawfully use the Services and the UGC for personal, non-commercial purposes only. Without derogating from the foregoing, without prior written consent of StoryTower, and the execution of a definitive agreement between us, which may be subject to additional terms (such as royalty payments), you may not: Sell, distribute, license, or otherwise exploit the UGC commercially; Use the UGC in connection with advertisements, monetized platforms, or derivative commercial projects; Publish the UGC in any form of media for commercial gain.

2.4 License Granted to StoryTower

By submitting User Inputs and using the Services, you grant StoryTower a perpetual, worldwide, royalty-free, non-exclusive, irrevocable, sublicensable and transferrable license to: Use, host, reproduce, modify, translate, adapt, publicly display, distribute, and create derivative works from the User Inputs and the resulting UGC; Commercially use the UGC in any form, including through Merchandise, promotional uses, licensing, and derivative services, without further approval from you and without any obligation to account or compensate you, unless otherwise agreed in writing; Internally use and analyze the User Inputs and UGC to operate, test, improve, and train StoryTower's artificial intelligence models and related Services. You acknowledge that StoryTower makes, will make, and is free to make UGC available to other Users for their personal use within the platform, and that accordingly you will have access to UGC generated by other Users. For avoidance of doubt, you do not retain any rights to any such UGC generated by other Users.

2.5 Waiver of Moral Rights

To the maximum extent permitted by applicable law, you waive all moral rights or similar rights in User Inputs and in UGC, including rights to attribution or integrity of works.

3. Content Standards and User Conduct

You are responsible for your use of the Services and for any content you generate, upload, input, or distribute. You must ensure that your content complies with all applicable laws, including intellectual property laws. You may not submit content that includes copyrighted material, trademarks, or other proprietary information of third parties unless you have obtained all necessary rights or permissions. You are legally responsible for the content you submit. You agree not to use the Services to create, promote, or share content that is unlawful, defamatory, sexually explicit, vulgar, harassing, abusive, hateful, discriminatory, violent, or otherwise unsuitable for children or general audiences. StoryTower deploys moderation systems, including automated filters and manual review, to detect and block content that violates these standards. However, given the evolving nature of generative AI, we do not warrant that all harmful content will be automatically filtered or removed. Violation of these provisions may result in suspension or termination of your access and legal action where applicable.

4. E-Commerce Terms

In addition to providing digital Services, StoryTower operates an online store integrated into its platform through which Users may purchase Merchandise related to the content they generate, including but not limited to printed stories, and other items. The following terms govern all such transactions, provided however that in the event of contradiction between these Terms and the consumer laws and regulations, as applicable, the applicable consumer laws and regulations shall apply:

4.1 Orders and Pricing

Orders placed via the StoryTower website or app are subject to availability and confirmation. Prices are displayed in USD and include VAT where applicable, unless stated otherwise. StoryTower reserves the right to change prices at any time before an order is confirmed.

4.2 Payment Terms

Payment must be made via approved methods: credit card, PayPal, Bit, Google Pay, Apple Pay, and other methods as specified on the payment page. Full payment is required at the time of purchase. StoryTower uses a third-party payment processor, PayPlus. Payment details are subject to the processor's terms and privacy policy, which can be found at https://www.payplus.co.il/data-security.

4.3 Order Confirmation and Contract Formation

An order becomes binding only after StoryTower sends a written confirmation to the User (via email or system message). The confirmation constitutes a contract under Section 14C of the Israeli Consumer Protection Law, if applicable.

4.4 Delivery and Risk of Loss

Delivery will be made to the address specified by the User at checkout. Estimated delivery time is 24-35 business days. StoryTower is not responsible for delays caused by third-party carriers or force majeure events, and risk of loss passes to the User upon delivery.

4.5 Cancellation and Return Policy

Each User acknowledges that all Merchandise offered through the platform (including but not limited to books, cups, and puzzles) are deemed "Goods that were specifically manufactured for the consumer as a result of the transaction" pursuant to Section 14C(d)(4) of the Israeli Consumer Protection Law. As such goods are customized and made-to-order based on User-generated content, purchases of Merchandise may not be canceled once the production process has commenced. Digital products, such as digital books, are not subject to cancellation or refund once access has been granted to the User. In the event that standard (non-customized) items are sold, Users may cancel a purchase of such items within 14 days of receiving them, by written notice to StoryTower via the customer support channels below. Upon valid cancellation, the User will be entitled to a refund of the transaction amount within 14 days, subject to the return of the goods (if applicable). StoryTower may deduct a cancellation fee of 5% of the transaction value or the equivalent of ₪100, whichever is lower, unless the cancellation is due to a defect or non-conformity, in which case no cancellation fee will apply.

4.6 Product Defects and Warranty

If the Merchandise arrives damaged or not as described, the User must notify StoryTower within 7 days. In accordance with Section 11 of the Consumer Protection Law, the User may request a replacement, repair, or refund.

4.8 Right of Refusal and Limitations

StoryTower reserves the right to refuse or cancel any order for any reason, including fraud suspicion or unavailability. In such cases, a full refund will be issued. Customized products cannot be modified or cancelled once the production process has begun, and digital content is non-refundable once access has been provided.

4.9 Conflict

In the event of any conflict between these Terms and any applicable consumer laws, regulations, or decrees, the provisions of such laws, regulations, or decrees shall prevail, to the extent such provisions cannot be contractually waived.

5. Age Requirements

You must be at least thirteen (13) years old or the legal age of digital consent in your jurisdiction to access or use the Services. If you are under the age of legal majority, your parent or guardian must accept these Terms on your behalf. If you are a parent or guardian who permits your child to use the Services, you are responsible for their use, including any purchases or content generated.

6. Limitation of Liability

To the fullest extent permitted by applicable law, StoryTower shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your access to or use of the Services, even if advised of the possibility of such damages. StoryTower's total aggregate liability for all claims arising from or related to the Services shall not exceed the amount you paid to StoryTower in the twelve (12) months preceding the claim. This limitation shall apply regardless of the legal theory and even if any limited remedy fails of its essential purpose.

7. Indemnification

You agree to defend, indemnify, and hold harmless StoryTower, its directors, officers, employees, contractors, agents, subsidiaries, affiliates, successors, and assigns from and against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including attorneys' fees and court costs) arising out of or in connection with: (a) your use or misuse of the Services or Merchandise; (b) any violation of these Terms or applicable law; (c) any violation of the rights of any other person or entity, including intellectual property or privacy rights; or (d) any content you generate or submit through the Services. This indemnity obligation shall survive the termination of these Terms and your use of the Services.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law rules. Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Tel Aviv, Israel. You agree to waive any objection to such venue or jurisdiction.

9. Changes to the Terms

StoryTower reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our platform or website or by notifying registered users. Continued use of the Services following the effective date of such changes constitutes acceptance of the revised Terms.

10. Suspension and Termination

StoryTower may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms or misuse of the platform. Upon termination, all licenses granted to you shall cease immediately, and you must stop using the Services and any UGC which have been deemed in breach of these Terms by StoryTower. Termination shall not relieve you of any accrued obligations or liabilities. You may terminate your account at any time through the user interface or by contacting customer support. Please note that we do not offer refunds for unused subscription periods or one-time purchases unless otherwise required by law.

11. Miscellaneous

StoryTower shall not be liable for any delay or failure to perform its obligations under these Terms, including but not limited to the production or delivery of Merchandise, if such delay or failure results from events or circumstances beyond its reasonable control. Such events include, but are not limited to, acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, government actions, pandemics, supply chain disruptions, or failures of third-party service providers. In the event of a force majeure, StoryTower will make reasonable efforts to notify affected users and to resume performance as soon as practicable. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. No waiver of any right or provision shall be deemed a further or continuing waiver. These Terms, together with the Privacy Policy and any other legal notices published by StoryTower, constitute the entire agreement between you and StoryTower concerning the Services and supersede all prior agreements and understandings.
